Welcome to Miss Afrikana International. These Terms and Conditions ("Terms") govern your use of our website located at missafrikanainternational.com (the "Website"), your participation in any Miss Afrikana International pageant, competition, or event (collectively, "Events"), and any related services, applications, or content (together with the Website, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. DEFINITIONS

  • "Organization" refers to Miss Afrikana International, its parent, affiliates, subsidiaries, and assigns.
  • "User", "you", or "your" refers to any individual or entity accessing or using the Services.
  • "Contestant" refers to any individual who submits an application to participate in any pageant or competition organized by Miss Afrikana International.
  • "National Director" refers to any individual or entity granted a franchise or license to operate a national pageant under the Miss Afrikana International brand.
  • "Content" means any text, images, videos, audio, data, or other materials uploaded, submitted, or otherwise made available through the Services.

2. ACCEPTANCE OF TERMS

By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules applicable to specific features or Events. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. ELIGIBILITY

Participation in Miss Afrikana International is open to women between the ages of 18 and 35 years at the time of application. By submitting an application as a Contestant or National Director, you confirm that you meet all applicable eligibility requirements. We reserve the right to verify eligibility and to reject or disqualify any application or participant who does not satisfy these requirements or provides inaccurate information.

4. USER ACCOUNTS

To access certain features, you may be required to fill the forms and register. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. The Organization reserves the right to suspend or terminate your account if any information is found to be inaccurate, incomplete, or misleading.

5. CONTESTANT AND DIRECTOR APPLICATIONS

5.1 Contestant Applications

By submitting a contestant application, you grant the Organization a worldwide, royalty-free, perpetual, irrevocable license to use your name, likeness, photograph, voice, biography, and any Content you provide in connection with the Event, including for promotional and commercial purposes, in any media now known or later developed. You also agree to abide by all rules, regulations, and codes of conduct set forth by the Organization for the Event.

5.2 National Director Applications

National Director applicants must provide accurate business credentials and agree to the terms of the franchise agreement if selected. The Organization reserves the right to approve or deny any Director application at its sole discretion.

6. INTELLECTUAL PROPERTY RIGHTS

All content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, is the exclusive property of Miss Afrikana International or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. The Miss Afrikana International name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Organization. You may not use such marks without prior written permission.

7. USER CONTENT

You retain ownership of any Content you submit, post, or display on or through the Services. By providing Content, you grant the Organization a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content in connection with operating and promoting the Services. You represent that you own or have the necessary rights to grant this license and that your Content does not violate any third-party rights or applicable laws.

8. PROHIBITED CONDUCT

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Upload or transmit any viruses, malware, or other harmful code.
  • Interfere with or disrupt the Services or servers.
  • Engage in any harassing, abusive, defamatory, or otherwise objectionable behavior toward other users, staff, or Event participants.
  • Attempt to gain unauthorized access to any part of the Services.
  • Use any automated means, such as bots or scrapers, without our express permission.

9. EVENT RULES AND CODE OF CONDUCT

All participants in Events must adhere to the official rules and code of conduct published by the Organization. This includes, but is not limited to, standards of personal behavior, dress code, social media conduct, and compliance with all contractual obligations. Violation of these rules may result in disqualification, removal from the Event, and/or legal action.

10. DISCLAIMER OF WARRANTIES

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, the Organization disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. LIMITATION OF LIABILITY

In no event shall Miss Afrikana International, its directors, employees, partners, agents, sponsors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; or (iv) unauthorized access, use, or alteration of your transmissions or content. Our total aggregate liability for any claims under these Terms shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Miss Afrikana International and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party.

13. THIRD-PARTY LINKS AND SERVICES

Our Services may contain links to third-party websites or services that are not owned or controlled by the Organization. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Organization shall not be liable for any damage or loss caused by or in connection with the use of any such third-party content or services.

14. TERMINATION

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed and construed in accordance with the laws of the jurisdiction where the Organization is headquartered, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved through good-faith negotiations. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the rules of the relevant arbitration body, and judgment on the award may be entered in any court having jurisdiction. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

16. CHANGES TO THESE TERMS

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

17. FORCE MAJEURE

The Organization shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government regulations, natural disasters, pandemics, strikes, or failure of utilities or telecommunications networks.

18. GENERAL PROVISIONS

These Terms constitute the entire agreement between you and Miss Afrikana International regarding the use of the Services, superseding any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
